This End-User License Agreement (“Agreement”) is a legal contract between you (“Licensee”, “You”) and Principal Forms LTD (“Licensor”, “We”, “Us”) governing your purchase, download, access, or use of digital assets and related products provided by Principal Forms LTD.
By downloading, purchasing, or using the Assets, You agree to be bound by this Agreement.
If You do not agree, do not download, access, or use the Assets.
1.1 “Assets” / “Digital Products”
Any digital files provided by Principal Forms LTD, including but not limited to: 3D models, textures, materials, animations, images, source files, documentation, kits, packs, or any related content.
1.2 “Content”
Any artwork, renders, videos, animations, games, films, visualizations, marketing materials, or other creative outputs You produce using the Assets.
1.3 “Project”
Any end product or work in which the Assets are integrated and not extractable as standalone files.
1.4 “License Types”
The license tier purchased by You as defined in Section 2.3.
2.1 Limited License
Principal Forms LTD grants You a non-exclusive, non-transferable, non-sublicensable, perpetual license to use the Assets according to this Agreement and the License Type purchased.
2.2 Permitted Uses
You may:
Use the Assets in personal or commercial Projects.
Modify the Assets for incorporation into your Content.
Use the Assets in films, games, advertising, concept art, visualizations, and related creative applications.
Render, publish, and distribute completed Projects containing the Assets, so long as the Assets are not extractable.
2.3 License Types
A. Individual / Freelance License
Licensed to one natural person only.
May be used on any number of personal devices belonging to that same individual.
Cannot be shared with employees, contractors, collaborators, or multiple users.
If additional users require access, a Studio License is required.
B. Studio (2-10 users)
Licensed to a small team, company, or studio consisting of between 2 and 10 people, including full-time, part-time, and contract workers who require access to the Assets.
Allows the Assets to be installed on any number of devices used by members of that organization.
All users must be part of one company, team, or entity.
Sharing, transferring, or providing access to individuals outside the licensed organization is prohibited unless those external contractors hold their own Individual License.
If the organization grows beyond 10 users, a Studio License is required.
C. Studio License (10+ Users)
Required for any organization consisting of more than 10 users needing access to the Assets.
Grants usage rights to all employees and contractors working within that single organization.
The organization may install the Assets on any number of studio-owned workstations or user devices.
External contractors or freelancers outside the organization must hold their own Individual License.
You may NOT:
3.1 Redistribution
Resell, share, upload, distribute, sublicense, rent, lease, gift, or otherwise make the Assets or modified versions available as standalone files.
Include the Assets in any product where files are accessible, extractable, or reusable by third parties.
3.2 Competitive Use
Use the Assets to create competing commercial products similar in purpose or design to the offerings of Principal Forms LTD (e.g., asset packs, kitbash libraries, or collections of reusable models).
3.3 Illegal / Harmful Use
Use the Assets for any unlawful, defamatory, hateful, or discriminatory material.
3.4 Multi-User Violations
Share an Individual/Freelance License with multiple people.
Allow use by team members without a Studio License if the team has one or more people.
Principal Forms LTD retains all rights, title, and interest in the Assets, including but not limited to copyright and other intellectual property rights.
You retain rights to the Content You create, provided the Assets remain integrated and cannot be extracted.
No rights are granted to You other than those explicitly stated in this Agreement.
5.1 Term
The license is perpetual unless terminated under this Agreement.
5.2 Termination by Breach
Principal Forms LTD may terminate your license immediately if You:
Breach this Agreement in any way
Redistribute or improperly share the Assets
Use the Assets beyond the scope of your License Type
5.3 Effect of Termination
Upon termination:
You must delete all copies of the Assets.
You may continue using only completed Projects where the Assets are integrated and not extractable.
Access to updates and support is revoked.
The Assets are provided “AS IS” without warranties of any kind.
Principal Forms LTD does not guarantee compatibility, error-free operation, or suitability for a particular purpose.
To the fullest extent permitted by law, Principal Forms LTD is not liable for:
Loss of profits
Business interruption
Loss of data
Indirect or incidental damages
Consequential or special damages
You agree to indemnify and hold harmless Principal Forms LTD from any claims, losses, damages, liabilities, or expenses arising from:
Your misuse of the Assets
Your breach of this Agreement
Any violation of third-party rights
Use of the Assets in unlawful or harmful content
Due to the digital nature of the Assets, all sales are final.
Principal Forms LTD may provide support or updates at its discretion but is not obligated to do so.
Corrections of missing or corrupted files may be provided as a courtesy.
This Agreement will be governed by and interpreted under the laws of England and Wales.
Any disputes will be handled exclusively in the courts of that jurisdiction.
10.1 Entire Agreement
This Agreement constitutes the complete understanding between You and Principal Forms LTD.
10.2 Severability
If any part of this Agreement is found invalid, the remainder remains in effect.
10.3 No Waiver
Failure by Principal Forms LTD to enforce any provision does not waive that right.
10.4 Amendments
Principal Forms LTD may update or modify this Agreement at any time. Continued use of the Assets constitutes acceptance of the revised terms.
By downloading, purchasing, installing, or using the Assets, You confirm that You have read, understood, and agree to be bound by this Agreement.
